CommissionIt.com is a trading name of Commission It Ltd, registered in England and Wales under Company Number 07410971.

These Terms govern access to and use of CommissionIt.com and all related services (collectively, the “Platform”).

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

CommissionIt.com provides:

• AI assisted project planning tools
• Project brief creation functionality
• Project management features
• Cost estimation tools
• Supplier discovery functionality
• Workflow management tools
• Collaboration tools
• Research and idea generation tools

• Users must provide accurate and complete information when creating an account.
• Users are responsible for maintaining the security of their account credentials.
• Users are responsible for all activity that occurs under their account.
• Users must notify CommissionIt immediately of any unauthorised access.
• CommissionIt may suspend or terminate accounts where necessary to protect the Platform or other users.

Users must not use the Platform for:

• Any illegal activities or purposes
• Fraudulent activity or misrepresentation
• Harassment, abuse or threatening behaviour
• Infringement of intellectual property rights
• Uploading malware, viruses or malicious code
• Attempting unauthorised access to the Platform or other accounts
• Reverse engineering, decompiling or disassembling the Platform
• Misuse of AI tools to generate harmful, misleading or inappropriate content
• Uploading unlawful, defamatory or objectionable content
• Automated scraping, data harvesting or similar activities

Users retain ownership of content they upload to the Platform (“User Content”).

By uploading User Content, users grant CommissionIt a non-exclusive, worldwide, royalty-free licence to host, store, process, analyse and display such content solely for the purposes of operating, maintaining and improving the Platform.

Users confirm they have all necessary rights, permissions and consents to upload User Content and grant the above licence.

CommissionIt may provide supplier discovery, matching or introduction services.

CommissionIt does not investigate, verify, audit, approve, endorse or guarantee any supplier listed, matched or introduced via the Platform.

Users are solely responsible for undertaking their own due diligence before engaging any supplier, including verifying credentials, insurance, references, pricing and suitability.

Any contract entered into is between the user and the supplier. CommissionIt is not a party to such contracts and is not responsible for supplier performance, quality, pricing, conduct, availability or outcomes.

All intellectual property rights in the Platform, including but not limited to:

• CommissionIt branding, logos and trademarks
• Software, code and algorithms
• Website content and design
• User interface and user experience
• The What, When, How Framework and related methodologies
• Documentation and training materials
• AI workflows and configurations

are owned by or licensed to Commission It Ltd and are protected by copyright, trademark and other intellectual property laws.

Users may not copy, reproduce, modify, distribute, reverse engineer or commercially exploit any part of the Platform without prior written permission from CommissionIt.

CommissionIt does not guarantee uninterrupted, continuous or error-free availability of the Platform.

Maintenance, upgrades, outages and technical issues may occur from time to time. Features and functionality may be modified, updated or removed without notice.

CommissionIt will use reasonable efforts to provide advance notice of planned maintenance where practicable.

By creating an account, users agree that CommissionIt may contact them regarding:

• Account administration and security
• Projects and project activity
• Service notifications and updates
• Product functionality and features
• Support requests and responses
• Billing and payment matters
• Operational updates necessary to provide the service

These operational communications form part of the service and are separate from marketing communications. Marketing communications will only be sent where permitted by law and users have provided appropriate consent.

CommissionIt may introduce subscriptions, premium services, usage-based billing and paid features in the future.

Fees may be introduced or amended with reasonable notice to users. Continued use of paid services after fee changes take effect constitutes acceptance of the new fees.

To the fullest extent permitted by law, CommissionIt shall not be liable for:

• Loss of profits, revenue or business
• Loss of contracts, goodwill or opportunity
• Business interruption
• Data loss or corruption
• Indirect, special or consequential losses
• Reliance on AI generated outputs
• Reliance on estimates, budgets or recommendations
• Supplier performance, conduct or failures
• Project delays, failures or cost overruns
• Any purchasing decisions made using Platform outputs

Nothing in these Terms excludes liability which cannot legally be excluded under English law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Users agree to indemnify and hold harmless Commission It Ltd, its directors, employees, agents and affiliates from any claims, losses, damages, costs or liabilities (including reasonable legal fees) arising from:

• User Content uploaded to the Platform
• User projects and project outcomes
• Disputes with suppliers engaged via the Platform
• Breaches of these Terms by the user
• Misuse of the Platform by the user
• Violation of any third-party rights by the user

Your privacy is important to us. Our collection, use and protection of personal information is governed by our Privacy Policy, which forms part of these Terms.

By using the Platform, you acknowledge that you have read and understood our Privacy Policy.

CommissionIt may suspend or terminate user accounts at any time where necessary to:

• Protect the Platform, users or third parties
• Enforce these Terms
• Comply with legal requirements
• Protect CommissionIt's business interests
• Address suspected fraudulent or abusive activity

Users may terminate their account at any time by contacting CommissionIt.

CommissionIt may update these Terms from time to time. We will notify users of material changes via email or by posting a notice on the Platform.

Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. Users who do not agree to updated Terms should discontinue use of the Platform.

These Terms are governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from or in connection with these Terms or your use of the Platform.
